1. Service Description
These Terms of Service ("Terms") govern your access to and use of the Maestro platform ("Service") operated by Orchestrel AI, a trading name of Jeremie Tabet EI, SIRET 92433678700016, TVA FR78924336787, located at 5 rue du Lorguillon, Trieux, France ("Company", "we", "us", or "our"). The Service is an AI-powered autonomous development orchestration platform that enables users to describe features, plan development tasks, and have AI agents execute, review, test, and integrate code, all running locally on the user's machine.
The Service operates on a dispatch-based billing model: each unit of work (an implementation, a review, or tests written for an implementation) is billed as a "dispatch." Different types of dispatches carry different prices as detailed on our pricing page. Platform access is provided on a monthly subscription basis.
2. Account Terms
- Eligibility. You must be at least 18 years old and authorized to enter into a binding agreement to use the Service.
- Domain-scoped access. Accounts are scoped to an organizational domain. Up to 25 users on the same domain may access the platform under a single subscription.
- API keys. Each account receives domain-scoped API keys. You are responsible for maintaining the confidentiality of your keys and for all activity conducted under them.
- User obligations. Each user must maintain their own machine environment capable of running Maestro's local execution engine.
3. Payment Terms
- Platform fee. A monthly fee of 25€ (excluding applicable taxes) grants access to the platform for up to 25 users, including the dashboard, orchestrator engine, Jira connector, and 25 API keys. Inference (dispatches) is billed separately. All prices are stated exclusive of applicable taxes (HT). VAT or equivalent taxes will be applied where required by law.
- Dispatch credits. AI compute is billed on a pre-funded credit basis. You purchase credits in advance and each dispatch deducts from your balance as published on our pricing page.
- Billing cycle. Platform subscriptions are billed monthly. Credits are charged at the time of purchase.
- Annual option. Subscribers who commit to a 12-month plan receive 25€ in dispatch credits included on top of their subscription.
- Balance checks. You are responsible for monitoring your credit balance. The Service does not automatically charge more credit. If your balance reaches zero, dispatches will pause until credits are replenished.
4. Acceptable Use
You agree not to use the Service to:
- Engage in any illegal activity, including but not limited to the development of malware, exploits, or tools designed to compromise other systems.
- Resell access to the Service to third parties outside your registered domain.
- Reverse-engineer, decompile, or attempt to derive the source code or architecture of the Service.
- Conduct automated attacks (DDoS, brute force, scraping at scale) against third-party systems.
- Use the Service to generate content that infringes on third-party intellectual property rights.
- Circumvent any technical measures intended to limit usage, enforce pricing, or secure the platform.
We reserve the right to suspend or terminate accounts that violate these terms, without refund of unused credits.
5. Intellectual Property
- Client ownership. You retain full ownership of all source code, configurations, and artifacts generated by the Service on your machine. This is your intellectual property.
- Platform ownership. Orchestrel AI retains all rights to the Maestro platform, including its architecture, orchestration logic, UI, branding, and proprietary systems. You are granted a limited, non-exclusive, non-transferable license to use the platform as provided under these Terms.
- Open-source components. Any open-source software used in the Service remains subject to its original licenses. We do not claim ownership over third-party open-source code.
6. Data Handling
- Code runs locally. All source code execution, file generation, and code modification occur on your machine. No code is uploaded to or stored on Orchestrel servers.
- Prompt storage. Orchestrel stores conversation prompts and internal orchestration prompts to ensure session continuity. Prompts are encrypted in transit within the Maestro ecosystem. We do not use your prompts for training or any purpose other than delivering the Service to you.
- No code storage. Orchestrel servers do not store source code, file contents, or generated artifacts. The orchestration layer operates on metadata (task status, dispatch results) only.
- Telemetry. We collect usage metrics (dispatch counts, feature completion rates, build duration, and aggregate service usage statistics) for billing and service improvement. No code content is included.
7. Liability Limitations
- As-is basis. The Service is provided "as is" and "as available." We do not guarantee uninterrupted, error-free operation.
- Code quality. While the Service includes automated review and quality gates, the final decision to merge code rests with the user. We are not liable for bugs, security vulnerabilities, or performance issues in generated code.
- Consequential damages. In no event shall Orchestrel AI, its founders, employees, or agents be liable for any indirect, incidental, special, or consequential damages, including loss of data, revenue, or business opportunities, arising from use or inability to use the Service.
- Maximum liability. Our total liability for any claim arising from the Service shall not exceed the total amount paid by you to Orchestrel AI in the 12 months preceding the claim.
8. Termination and Refund Policy
- Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle. You retain access until then.
- Unused credits. Pre-funded dispatch credits are non-refundable. Upon cancellation, you retain access to your credits until the end of your subscription or until exhausted.
- Termination by us. We reserve the right to terminate your account if you materially breach these Terms, with 30 days' written notice (except in cases of illegal activity, which may result in immediate termination without notice).
- Refund for unused platform fees. If we terminate your account without cause, we will refund the unused portion of your monthly subscription.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of France. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Metz, France.
